Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you (“you,” “User,” “Contributor”) and Metrostack (“Metrostack,” “we,” “us”), governing your access to and use of the Metrostack website, applications, and related services (the “Service”). Metrostack currently operates on a pre-incorporation basis; once a company is formed to operate the Service, this section will be updated to name that entity, its jurisdiction of registration, and its registered address.
By creating an account, submitting a Contribution, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use the Service. By using the Service you represent that you meet this requirement and that you are not barred from using the Service under the laws of your jurisdiction or ours.
2. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to keep it up to date. Notify us promptly at legal@metrostack.app if you suspect unauthorized use of your account.
3. What the Service Is
Metrostack is a crowdsourced database of companies, offices, and teams — including their technology stacks and AI-usage practices — built and maintained by contributions from individual users. The Service also processes limited personal account data (e.g. your email address) to operate accounts and authentication; that processing is described in our Privacy Policy (forthcoming), not in these Terms.
4. License to Use the Service
Subject to these Terms, Metrostack grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own use as permitted under Section 5.
5. Free Tier: Personal, Non-Commercial Use
The free tier of the Service is licensed for use by private individuals for personal, non-commercial purposes only. Commercial use of the free tier requires a business subscription, which is not yet available; contact us at legal@metrostack.app if you have a commercial use case.
For the purposes of these Terms, “commercial use” means using the Service to:
- recruit or source job candidates;
- conduct sales prospecting;
- conduct market research for resale to a third party; or
- extract, compile, or use Service data in bulk for a business purpose.
Commercial use does not include, and these Terms should not be read to restrict:
- using the Service while employed, or during work hours, at the company whose data you are viewing or contributing to;
- using the Service to research a prospective employer, prepare for a job interview, or otherwise inform your own career decisions, even where those decisions have financial consequences for you personally.
This distinction is intentional: Metrostack’s data is built by individual contributors, often employees describing their own employer, and the free tier is designed for exactly that use.
You may not access, query, crawl, scrape, or extract data from the Service using automated means (bots, scripts, crawlers, scrapers, or similar tools), and you may not bulk-export Service data, except through an API or export feature we explicitly provide for that purpose and subject to its own terms. This restriction applies regardless of whether your use would otherwise qualify as personal or commercial use above.
We may investigate, rate-limit, suspend, or terminate access for any account we reasonably believe is violating this Section 5, in our sole discretion and without prior notice where we consider it necessary.
6. Contributions
A “Contribution” is any information you submit to the Service, including but not limited to company, office, and team records; technology and tooling assignments; AI-usage overviews and maturity assessments; confirmations, edits, and corrections to existing data; and any other content you add.
By submitting a Contribution, you grant Metrostack a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sublicensable, and transferable license to host, use, reproduce, modify, adapt, publish, publicly display, distribute, create derivative works from, and otherwise exploit that Contribution, in whole or in part, in any format or medium now known or later developed — including for commercial purposes, such as selling, licensing, or otherwise distributing the data or derivative datasets to third parties (including recruitment, research, and data-analytics companies).
You may correct, update, or edit your Contributions through the Service’s ordinary editing and correction features at any time, and other contributors may also propose corrections through those same features. However, once submitted, a Contribution and the license above cannot be unilaterally withdrawn by you — including because you stop using the Service, close your account, or no longer work at, or wish to be associated with, the company or team the Contribution concerns.
This does not limit Metrostack’s ability to remove, redact, or restrict access to a Contribution where we determine, in our discretion, that doing so is necessary to comply with applicable law, a valid court order or regulatory demand, a substantiated defamation or right-of-publicity claim, a legitimate erasure request from a natural person whose personal data appears in a Contribution’s free-text content (who need not be the Contributor themselves), or a genuine intellectual-property complaint. The license above survives such removal for any copy, derivative, or distribution made before the removal.
If you delete your account, we will disassociate your identity from your past Contributions in the Service’s internal records and in any public display of who contributed a given record. The Contributions themselves, and the license above, remain in effect and are not deleted.
Contributions are provided by individual users and are not independently verified by Metrostack before publication. Metrostack makes no warranty as to the accuracy, completeness, or currentness of any Contribution. Companies or individuals who believe a Contribution about them is materially inaccurate may contact us at legal@metrostack.app.
7. Your Representations About What You Submit
By submitting a Contribution, you represent and warrant that:
- the information is, to your knowledge, accurate;
- you have the right to share the information — including, where the Contribution concerns your current or former employer, that sharing it does not breach any confidentiality agreement, non-disclosure agreement, employment contract, or other obligation you owe that employer, and that you have any consent from your employer that such an obligation requires;
- the Contribution does not infringe any third party’s intellectual property, privacy, or other rights, and does not contain unlawful, defamatory, or harassing content about an identifiable individual; and
- you have the authority to grant the license in Section 6.
Metrostack does not independently verify these representations before publishing a Contribution. We treat the act of submission itself as your representation that the above is true. You agree to indemnify and hold Metrostack harmless from any claim, loss, or expense (including reasonable legal fees) arising from a breach of this Section 7.
8. Company Data and Future Business Terms
Contributions describe companies, offices, and teams as observed or known by individual Contributors; they are not authored or endorsed by the companies themselves. A company may in the future be offered a separate, additional agreement to enhance its own profile (e.g. logo, description, careers link) on terms to be published when that feature launches. Such an agreement, if entered into, will not grant the company any right to edit, suppress, or remove Contributions made by other users about it; Sections 6 and 7 continue to govern Contributions regardless of any company-level agreement.
9. Premium Access
Some features of the Service are limited to users with premium access. As of the date of these Terms, premium access is earned through Contributions and contributor achievements under the Service’s rewards program, and is not purchased. The amount and duration of premium access granted, and the rules for earning it, are described in the Service and may change at any time.
We may in the future offer premium access for purchase. Any such purchase will be governed by additional terms presented at the time, including pricing, billing, and refund terms. Nothing in these Terms should be read as offering a paid subscription today.
Earned premium access expires according to the rules in effect at the time it was granted. Expiry does not delete any data associated with your account; previously visible saved data, if any, remains visible on a read-only basis unless stated otherwise in the Service.
10. Intellectual Property in the Service
Excluding Contributions (governed by Section 6) and any data or content owned by third parties, the Service — including its software, design, text, graphics, and the compilation and organization of Contributions into the Service — is owned by Metrostack or its licensors and is protected by intellectual property laws. Nothing in these Terms grants you any right to Metrostack’s trademarks, logos, or brand features.
11. Data API and Third-Party Distribution
Metrostack may license, sell, or otherwise make available all or part of the dataset compiled from Contributions to third parties, including as a data feed, API, or bulk export, under separate commercial terms with those third parties. Section 6 is the license basis for this activity as to individual Contributions; nothing in this Section 11 expands that license.
12. Suspension and Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for a suspected violation of these Terms. You may stop using the Service and delete your account at any time. Sections 6, 7, 9 (expiry), 10, 11, 13, and 14 survive termination of your account or these Terms.
13. Disclaimers and Limitation of Liability
The Service and all Contributions are provided “as is” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Metrostack does not warrant that the Service will be uninterrupted, error-free, or that any Contribution is accurate.
To the maximum extent permitted by law, Metrostack will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Metrostack’s total liability for any claim arising out of these Terms will not exceed the greater of €100 or the amount you paid Metrostack in the 12 months before the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law.
14. Governing Law and Disputes
These Terms are governed by the laws of Sweden, without regard to conflict-of-law principles, and any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the Swedish courts, except where mandatory consumer-protection law in your country of residence grants you the right to bring a claim in your local courts, which this Section does not override.
15. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will provide notice through the Service (e.g. on next sign-in) before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
